Agreement to these terms

These Terms of Service govern access to and use of Pipeer, a service provided by Lumen Platforms Inc. (Lumen Platforms, we, us, or our). By creating an account, using the service, or accepting an order that references these Terms, you agree to them.

If you use Pipeer for an organization, you represent that you have authority to bind that organization. A signed order form or other written agreement may supplement these Terms. If it conflicts with these Terms, the signed agreement controls.

Eligibility and accounts

You must be legally able to enter into a binding agreement and be at least 18 years old. You are responsible for accurate account information, protecting credentials, limiting access to authorized users, and all activity under your account. Tell us promptly about suspected unauthorized access.

The service

Pipeer helps users connect workplace tools, retrieve context, generate outputs, and carry out authorized workflows. We may improve or modify the service over time. We will not materially reduce purchased core functionality during a paid subscription term without reasonable notice.

Artificial-intelligence features can produce incomplete, incorrect, or unexpected results. You are responsible for reviewing outputs and confirming actions before relying on them, especially for legal, financial, employment, safety, or other high-impact decisions.

Customer data and integrations

You retain ownership of information, content, and materials you submit to Pipeer, referred to as Customer Data. You grant us the limited rights needed to host, process, transmit, and display Customer Data to provide, secure, support, and improve the service for you.

You are responsible for having the rights and permissions needed to submit Customer Data and connect third-party services. Your use of third-party integrations is also governed by their terms and privacy policies. We are not responsible for third-party services outside our control.

Acceptable use

You may not use Pipeer to:

  • break the law, violate another person's rights, or process information without required permission;
  • introduce malware, disrupt the service, evade security controls, or access accounts or systems without authorization;
  • reverse engineer or attempt to extract non-public source code, models, or underlying components except where law expressly permits it;
  • misrepresent generated content as human-authored when disclosure is required, or use outputs to make unlawful discriminatory decisions;
  • resell, sublicense, or provide the service to third parties except as allowed in a written agreement; or
  • use the service to build or train a competing product or model.

Fees and subscriptions

Prices, subscription periods, usage limits, and payment terms are described at purchase or in an order form. Unless stated otherwise, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes based on our income.

Paid subscriptions renew as stated at purchase or in the applicable order form. You can prevent renewal by canceling before the renewal date through the available account controls or by contacting us.

Ownership and feedback

Lumen Platforms and its licensors own Pipeer, including its software, design, documentation, and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription or authorized access period.

If you provide feedback, you allow us to use it without restriction or compensation, but we will not identify you publicly as its source without permission.

Confidentiality and privacy

Each party may receive non-public information that is identified as confidential or should reasonably be understood to be confidential. The receiving party will protect it with reasonable care and use it only for the relationship, except when disclosure is authorized or legally required.

Our handling of personal information is described in the Privacy Policy. Additional data-processing terms may apply to business customers.

Suspension and termination

You may stop using Pipeer at any time. We may suspend access when reasonably necessary to prevent harm, address a security risk, comply with law, respond to non-payment, or investigate a material breach. When practical, we will give notice and an opportunity to resolve the issue.

Either party may terminate for a material breach that is not cured within a reasonable notice period. After termination, access ends and Customer Data may be deleted according to the applicable agreement and our retention practices. Provisions that by their nature should survive will remain in effect.

Disclaimers

To the extent permitted by law, Pipeer is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee that generated outputs are accurate or suitable for a particular use.

Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised that such damages were possible.

Except for amounts owed, misuse of the other party's intellectual property, breach of confidentiality, or liability that cannot legally be limited, each party's total liability arising from the service will not exceed the amount paid or payable for Pipeer during the 12 months before the event giving rise to the claim.

General terms

Neither party is responsible for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent, except in connection with a merger or sale of substantially all assets. We may assign them as part of a reorganization, merger, acquisition, or asset transfer.

If a provision is unenforceable, the rest remains effective. A failure to enforce a provision is not a waiver. These Terms and any applicable signed agreement are the entire agreement about the service. We may update these Terms and will provide reasonable notice of material changes. Continued use after the effective date means you accept the revised Terms.
